Affiliate program terms

1.Purpose and acceptance

The program lets an affiliate recommend sweeprice.com through one or more named promotional codes, in exchange for compensation on the subscriptions those codes bring. Joining the program implies full acceptance of these terms. The compensation mode (recurring percentage, percentage of the first invoice, or fixed amount per conversion), its rate and its duration are set in the individual agreement provided when the codes are issued.

2.Eligibility

The program is reserved for professionals able to issue a compliant invoice: a company, sole trader, micro-entrepreneur or equivalent foreign status. Individuals without any status allowing them to invoice cannot receive commissions. Admission is granted by MossPig Lab, which may decline it without cause.

3.How attribution works and how long it lasts

Attribution relies exclusively on the code: no cookies are used. A customer is attributed to the affiliate when their first paid invoice carries one of the affiliate's codes. The attribution then holds for that subscription and its renewals, within the commission duration set by the individual agreement (default: twelve months from subscription). No attribution arises from: a code used by a customer who already holds a subscription, free trial periods as long as no invoice is paid, or any subscription predating the issuance of the code.

4.Compensation

The compensation basis is the amounts actually collected by MossPig Lab for the attributed subscription, excluding taxes and after discounts. Depending on the individual agreement, compensation takes one of the following forms: a percentage of every invoice collected during the commission period; a percentage of the first collected invoice; or a fixed amount per attributed subscription. Commissions are computed and tracked in the customer's billing currency (euro or dollar), without conversion.

5.Holding period, refunds and reversal

A commission only vests after a holding period of thirty (30) days following collection of the corresponding invoice. In case of refund, chargeback or non-payment, the corresponding commission is reversed, even if already paid out: its amount is deducted from the next payout or, failing that, reimbursed by the affiliate.

6.Payouts and threshold

Vested commissions are paid by wire transfer, against an invoice from the affiliate, at most once a month. No payout is made until the vested balance reaches fifty (50) euros excluding taxes, or its equivalent in the relevant currency; lower balances roll over to the next period. Balances in different currencies are never added together.

7.Invoicing and VAT

The affiliate issues an invoice compliant with the rules applying to their status and country of establishment. Affiliate established in France: the invoice bears French VAT at the applicable rate under their regime; under the small-business franchise, it bears the notice "TVA non applicable, art. 293 B du CGI". VAT-registered affiliate established in another EU member state: the service falls under the reverse-charge mechanism by MossPig Lab (article 196 of Directive 2006/112/EC); the invoice bears the "Reverse charge" notice and both parties' intra-community VAT numbers. Affiliate established outside the EU: the service is not subject to French VAT (article 259-1 of the French tax code); the affiliate applies the tax rules of their own country.

8.Transparency and promotion

The affiliate promotes sweeprice.com in their own name and discloses the commercial nature of their promotion, in accordance with French law no. 2023-451 of June 9, 2023 on commercial influence and with the rules applying in their broadcasting country. They shall not present themselves as sweeprice.com or MossPig Lab, use the brand beyond the normal promotion of the service, or make promises or guarantees not found in the service's official documentation.

9.Grounds for exclusion

Any breach may lead to immediate suspension from the program, deactivation of the codes and reversal of unpaid commissions related to the facts at issue, without prejudice to damages.

• Self-referral: using one's own code, directly or through an intermediary, for one's own accounts or those of one's company.
• Publishing a code on a coupon aggregation, cashback or similar site without prior written consent.
• Bidding on the sweeprice brand or its variants in paid search, or any form of brand impersonation.
• Unlawful prospecting, mass unsolicited messaging (spam), or promotion on illegal content.
• Artificial traffic, fraudulent subscriptions or any scheme aimed at unduly generating commissions.
• Breach of these terms, of the individual agreement or of applicable regulations.

10.Term, suspension and termination

The program runs for an indefinite term. Either party may end it at any time, in writing, with thirty (30) days' notice; MossPig Lab may additionally suspend the affiliate immediately in case of breach. Commissions duly vested before the end of the program remain payable, except those related to a breach.

11.Independence of the parties

The affiliate acts as an independent professional. These terms create no mandate, partnership, commercial agency or employment relationship. The affiliate may not enter into any commitment on behalf of MossPig Lab.

12.Changes to these terms

MossPig Lab may amend these terms. Affiliates are informed at least thirty (30) days before they take effect; continued participation in the program implies acceptance. Vested commissions remain governed by the version in force on the day they vested.

13.Governing law

These terms are governed by French law. Any dispute regarding their interpretation or performance shall be submitted to the exclusive jurisdiction of the courts of MossPig Lab's registered office.
